1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and cvPal, Inc. (“cvPal,” “we,” “us,” or “our”) governing your access to and use of the cvPal platform, MCP Server, APIs, and all related services (collectively, the “Services”).
By creating an account or using any part of the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree, you must not access or use the Services.
2. Description of Service
cvPal is a computer vision dataset management platform that provides tools for dataset curation, processing, augmentation, transformation, and export. The Services are delivered through a managed MCP (Model Context Protocol) Server and include cloud-based infrastructure, multi-format dataset exports, and integrations with third-party platforms.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
3. User Accounts and Registration
To access the Services, you must register for an account and provide accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
You agree to: (a) provide truthful registration information; (b) maintain and promptly update your account information; (c) notify us immediately of any unauthorized access to or use of your account; and (d) ensure that you log out from your account at the end of each session.
We reserve the right to suspend or terminate any account that we reasonably believe violates these Terms, is involved in fraudulent or illegal activity, or poses a security risk to the platform or other users.

You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. You shall not:
5. Intellectual Property and Content Rights
Your Content
You retain all ownership rights in the content you upload to the Services (“User Content”). By uploading User Content, you grant cvPal a non-exclusive, worldwide, royalty-free license to use, process, store, and transform such content solely as necessary to provide the Services. This license terminates when you delete your User Content or your account.
Our Intellectual Property
The Services, including all software, algorithms, MCP tools, user interface designs, documentation, trademarks, and related intellectual property, are the exclusive property of cvPal and its licensors. Nothing in these Terms grants you any right, title, or interest in or to the Services except for the limited right to use them in accordance with these Terms.
6. Subscription, Fees, and Payment
Certain features of the Services require a paid subscription. All fees are stated in U.S. dollars and are billed in advance on a recurring basis according to the billing cycle of your chosen plan. You authorize us to charge the applicable fees to the payment method you provide.
If payment cannot be processed, we may suspend your access to paid features until the outstanding balance is resolved. We reserve the right to change our pricing upon thirty (30) days’ written notice. Price changes will take effect at the start of your next billing cycle.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refunds, if any, are provided at our sole discretion on a case-by-case basis.
7. MCP Server Usage and Rate Limits
Access to our MCP Server tools is subject to the usage limits and rate limits defined by your subscription tier, as described in our documentation. We reserve the right to monitor usage patterns and to throttle, suspend, or restrict access that significantly exceeds normal usage patterns or that may adversely affect the platform’s stability.
Programmatic access to our APIs and MCP endpoints must comply with the published rate limits and technical documentation. Automated or scripted access that disregards these limits constitutes a violation of these Terms.
8. Term and Termination
These Terms are effective until terminated by either party. You may terminate your account at any time by contacting us or using the account deletion feature in your settings.
We may suspend or terminate your access to the Services immediately, without prior notice or liability, if you breach any provision of these Terms, engage in activity that is harmful to other users, or if we are required to do so by law.
Upon termination, your right to use the Services ceases immediately. We will make your data available for export for thirty (30) days following termination, after which it may be permanently deleted. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.
9. Disclaimers and Limitation of Liability
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CVPAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator’s decision shall be final and binding.
